Terms Of Service

These terms of service ("Terms") govern the use of services and digital interactions provided by the organization. By engaging with the services, users acknowledge they have read, understood, and agree to be bound by these Terms. If the user is accepting these Terms on behalf of an organization, they represent that they have the authority to bind that organization.

Acceptance of Terms

Access to and use of the organization's services constitute acceptance of these Terms and any additional terms referenced or agreed to in writing for particular engagements. Where a separate written agreement exists for specific services, its terms will control over these Terms to the extent of any conflict.

Service Usage

Users agree to provide accurate information and to use the services lawfully and ethically. The organization reserves the right to suspend or refuse service for conduct that threatens the integrity of its systems, violates applicable law, or harms other users. Materials provided through the services must not infringe third-party rights or contain unlawful content. Users remain responsible for their accounts and for activities that occur under their credentials.

Intellectual Property

All intellectual property created by the organization in the course of delivering standard services remains the organization's property unless an alternate written agreement transfers specific rights. The organization grants limited rights to clients for usage as agreed upon. Clients must not reproduce, redistribute, or repurpose proprietary materials beyond the scope of the license granted without prior consent. Respect for trademarks, copyrights, and confidential material of third parties is required.

Limitation of Liability

Except where prohibited by applicable law, the organization's liability for any claim arising from or related to these Terms or the provision of services will be limited to direct damages and capped at the amount paid by the client for the specific services under which the claim arose during the twelve months preceding the event. The organization will not be liable for indirect, incidental, consequential, punitive, or special damages, including lost profits, even if advised of the possibility of such damages.

Termination

Either party may terminate a service agreement in accordance with the termination provisions set forth in the applicable engagement letter or contract. In the absence of a separate agreement, the organization may cease service upon written notice for material breach or nonpayment. Upon termination, outstanding fees and reimbursable expenses become due immediately. Provisions that by their nature survive termination, such as intellectual property, confidentiality, and limitation of liability, will remain in effect.

Changes to Terms

The organization may update these Terms from time to time to reflect changes in legal or operational conditions. Notice of material changes will be provided in accordance with applicable law or as otherwise reasonable. Continued use of services following posted changes constitutes acceptance of the updated Terms.
